Must be well-versed in all aspects of corporate transactional matters including entity formation and filing, preparing Articles of Incorporation, Operating Agreements, By-Laws, Minutes from Board and Shareholder Meetings, preparation of annual reports, maintaining corporate minute books, prepare joint ventures and assist in acquisitions, including due diligence matters. On the healthcare side of the practice, the ideal candidate with be able to work on Board of Medicine issues, handle licensure issues, prepare managed care agreements as well as preparing physician contracting and employment agreements. This aspect of the practice requires highly regulatory compliance with state and federal agencies.
