An esteemed organization is on the lookout for a dynamic, detail-oriented, and experienced Permanent Corporate Paralegal to join our team in the Manufacturing industry. The successful candidate will have the opportunity to work closely with our corporate legal team, providing vital support on a variety of corporate legal matters. This role is ideal for a seasoned paralegal who thrives in a fast-paced environment and is adept at handling a variety of tasks, from corporate governance to transactional matters.
Responsibilities:
1. Assist in corporate governance matters, including preparing and maintaining corporate records, drafting resolutions, and managing filings with various governmental agencies.
2. Provide support in entity formation processes, including preparing incorporation documents and managing the registration process.
3. Assist in the preparation and review of various transactional documents, including contracts, agreements, and other legal documents.
4. Provide support in managing legal aspects of construction projects, including reviewing construction contracts and assisting in dispute resolution.
5. Support the corporate board by preparing meeting agendas, taking minutes, and ensuring compliance with corporate governance standards.
6. Assist in the preparation and review of elevator contracts and agreements, ensuring compliance with relevant laws and regulations.
7. Conduct legal research and provide insights to the legal team on various corporate legal matters.
8. Liaise with external legal counsel and manage the flow of information and documents.
Qualifications:
1. A Bachelor's degree in Law or related field.
2. A minimum of 3 years of experience as a Corporate Paralegal, preferably in the manufacturing industry.
3. Demonstrated experience in corporate governance, entity formation, and transactional matters.
4. Experience in construction law is preferred.
5. Proficiency in preparing and reviewing various corporate legal documents.
6. Experience in supporting corporate boards and managing board-related matters.
7. Familiarity with elevator contracts and agreements is a plus.
8. Excellent research and analytical skills.
9. Strong written and verbal communication skills.
10. Ability to manage multiple tasks and meet deadlines in a fast-paced environment.
11. High level of professionalism and discretion in handling confidential information.
12. Proficiency in Microsoft Office Suite and legal research tools.
